South Central Minnesota Pride BYLAWS
Article I. Mission Statement: The Mission of South Central Minnesota Pride is to promote visibility and pride for the Lesbian, Gay, Bisexual, Transgender, Questioning and Ally communities of south central Minnesota.
Article II. Non-Discrimination Policy: In all of its activities, efforts, policies, and in the composition of committees, South Central Minnesota Pride shall have as a central aspiration the achievement of equity through active recruitment of members of underrepresented groups. South Central Minnesota Pride shall not discriminate with regard to age, ethnicity, race, color, sex, creed, national or cultural origin, religious affiliation or background, sexual orientation, gender identification, disability, weight, height, appearance, marital status, or health status.
Article III.
The activities of South Central Minnesota Pride shall be directed by the South Central Minnesota Pride Board of Directors according to these bylaws.
- The South Central Minnesota Pride Committee shall elect at least three members to hold positions on the executive board.
- The positions shall be the Co-Chairs (2), Secretary, and Treasurer.
- Co-Chairs(2)
- Responsible for ensuring and maintaining that the corporation is meeting and satisfying requirements of 501c3 status.
- Shall ensure the corporation business and activities are carried out in accordance with the bylaws.
- Communications Chair
- Responsible to taking minutes at all committee meetings.
- Responsible for the keeping the corporation minutes notebook.
- Responsible for committee communication
- The Treasurer
- Shall keep financial records and conduct all banking.
- Shall prepare a treasurer's report to be presented at each committee meeting.
- The Secretary and Treasurer positions may be combined as long as the total number of board members is three (3) or above.
- The co-chairs and treasurer shall act as check signers on all South Central Minnesota Pride checks.
- The treasurer may sign any check for fifty (50) dollars or less.
- Any check in an amount greater than fifty (50) dollars, requires the approval of a co-chair.
- Additional positions may be created or eliminated as needed.
- Annual Elections will take place during the first meeting of the month following Pridefest.
- Terms shall be for one year and limited to five consecutive terms in a given position.
- In the event of a vacancy prior to the expiration of a term, a new election shall be held within two months of the vacancy.
- The founding members (incorporators) of South Central Minnesota Pride shall serve as a Board of Directors in an advisory capacity to the Executive Board to insure the continuity of the organization.
Article IV. A committee will form annually for the creation and management of annual events.
- Committee membership shall be open to any community member.
- The committee shall endeavor to reach a consensus in all decision-making. In the event that the committee cannot reach consensus, action may be taken by a simple majority vote.
- The board may remove a committee member, declare a vacancy or clear a position without committee vote.
- In the event of death, extreme illness, or resignation
- If a committee member misses 3 consecutive meetings and otherwise fails to establish interest.
- If the committee member commits malfeasance, illegal acts, or otherwise jeopardize the interests of the South Central Minnesota Pride.
Article V. The bylaws may be modified by decision of South Central Minnesota Pride. Such modification must be proposed at one meeting and decided upon at next regular meeting.
